Trac Platform Terms of Use

These Terms of Use govern access to and use of the Trac platform operated by Caterlytix Ltd, a company incorporated in England and Wales with company number 16777248 and registered office at Spaceworks, Benton Park Road, Newcastle upon Tyne, England, NE7 7LX (“Caterlytix”, “we”, “us”, or “our”).

By accessing or using Trac, you agree to these Terms. If you are accepting these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation.

1. About Trac

Trac is a cloud-based data and integration platform designed to enable secure data exchange, operational data management, and interoperability between systems used by schools, trusts, caterers, integration partners, and related organisations.

Trac may include modules, integrations, dashboards, APIs, reporting tools, and other services made available by Caterlytix from time to time.

2. Licence to use Trac

Subject to these Terms and payment of applicable fees, Caterlytix grants you a limited, non-exclusive, non-transferable, revocable licence to access and use Trac for your internal business purposes or as otherwise agreed in writing.

You must not:

  • copy, modify, reverse engineer, decompile, or attempt to derive source code from Trac;
  • access or use Trac for any unlawful purpose;
  • attempt to gain unauthorised access to any system, data, account, or network;
  • interfere with the operation, availability, performance, or security of Trac;
  • use Trac to provide service bureau, outsourcing, or resale services unless agreed in writing;
  • use Trac to build, assist, or support a competing platform without our written consent.

3. Accounts and authorised users

You are responsible for all use of Trac by your authorised users.

You must ensure that:

  • only authorised users access Trac;
  • login credentials, API keys, tokens, and other access mechanisms are kept secure;
  • access rights are reviewed and removed when no longer required;
  • any unauthorised access or suspected compromise is reported to Caterlytix promptly.

4. Third-party systems

Trac may connect to or depend upon third-party systems, including management information systems, point of sale systems, online payment systems, finance systems, middleware providers, and other external platforms.

Where Trac is used with a third-party system:

  • access may be subject to that third party’s terms, permissions, controls, rate limits, and technical requirements;
  • you must ensure that you have the necessary authority to connect, access, transfer, and process the relevant data;
  • Caterlytix is not responsible for the availability, performance, security, functionality, or data practices of third-party systems;
  • Caterlytix may suspend, restrict, or modify integrations where necessary to comply with third-party requirements or protect the platform.

5. Fees

Use of Trac may be subject to fees, which may include:

  • one-off onboarding or configuration fees;
  • per-site or per-organisation fees;
  • per-integration fees;
  • API usage or platform access fees;
  • other charges set out in an order form or agreed in writing.

Unless otherwise agreed, fees are exclusive of VAT and payable in accordance with the applicable order form or invoice.

6. Data

You retain ownership of the data you provide to or make available through Trac.

You grant Caterlytix the right to process such data as necessary to:

  • provide and support Trac;
  • operate integrations;
  • maintain platform security;
  • comply with applicable law;
  • improve and develop the platform, where such use is lawful and in accordance with applicable data protection obligations.

Where personal data is processed, the Data Processing Addendum applies where relevant.

7. Availability and support

Caterlytix will use reasonable endeavours to make Trac available in accordance with any applicable service level agreement.

Availability may be affected by:

  • scheduled or emergency maintenance;
  • third-party system availability;
  • internet or network failures;
  • customer systems, credentials, or configuration;
  • events outside our reasonable control.

8. Suspension

Caterlytix may suspend or restrict access to Trac where we reasonably consider it necessary, including where:

  • these Terms are breached;
  • there is a security, legal, operational, or compliance risk;
  • fees remain unpaid;
  • use exceeds applicable limits;
  • a third-party system provider requires restriction;
  • continued access could harm Trac, Caterlytix, customers, partners, or data subjects.

9. Intellectual property

Caterlytix and its licensors retain all intellectual property rights in Trac, including software, APIs, documentation, designs, workflows, data models, platform logic, and related materials.

No rights are transferred except for the limited licence expressly granted under these Terms.

10. Liability

To the maximum extent permitted by law, Caterlytix’s total liability arising out of or in connection with these Terms shall not exceed the fees paid by you to Caterlytix in the 12 months preceding the claim.

Caterlytix shall not be liable for:

  • loss of profit;
  • loss of revenue;
  • loss of contract;
  • loss of commercial opportunity;
  • loss of goodwill;
  • loss or corruption of data;
  • loss or corruption of software or systems;
  • loss of anticipated savings;
  • indirect, consequential, or special losses.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited.

11. Changes to these Terms

We may update these Terms from time to time. Where changes are material, we will take reasonable steps to notify affected users or customers.

Continued use of Trac after changes take effect constitutes acceptance of the updated Terms.

12. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
